Job description

From Novum Global’s job post, as they wrote it.

We are partnering with a well funded, fast growth start up with an incredible automation platform, powered by AI. This software platform is easily customisable with accuracy and superfast turnaround, so can be adapted to any law firm's or in house team's internal processes with expedience.

The team are seeking a Corporate M&A Lawyer to join as a Legal Engineer. The primary objective is to make AI accessible for legal professionals. This involves closely observing client workflows and adapting technology to fit with the Legal Engineer working as a bridge between users and product development teams, GTM and Marketing.

Read the full description

The role requires a deep understanding of legal practice in M&A and will focus on identifying and eliminating inefficiencies. Working within the inaugural team, you will be the Product Specialist/ SME in M&A. The solution will encompass share purchase agreements, asset sales, due diligence coordination, completion mechanics, and post-completion obligations, all automated and tracked in one place.

We need someone who has run M&A transactions as a practitioner and wants to turn that expertise into software. You will define the workflows, checklists, condition tracking, and document logic that power M&A automation. You will work with the development team to build features, and with the GTM team and Marketing to ensure the product resonates with corporate and M&A teams at Australian law firms.

About the Role

* Define end-to-end M&A transaction workflows: engagement, due diligence, SPA/APA negotiation, conditions precedent, completion, and post-completion

* Map condition precedent and condition subsequent tracking, including regulatory approvals (FIRB, ACCC, ASX), third-party consents, and completion deliverables

* Design automation rules for due diligence management, document request lists, data room coordination, and checklist tracking

* Work with the development team to translate M&A processes into product features, data models, and automation logic

* Design templates for SPAs, disclosure letters, completion checklists, and ancillary documents

* Identify where M&A teams waste the most time — CP tracking, completion mechanics, post-completion undertakings — and prioritise for automation

* Support the GTM team with domain expertise for M&A-focused sales conversations, demos, and client onboarding

* Validate product features with practising corporate/M&A lawyers

About You

* 6+ years of experience in corporate M&A at an Australian law firm (buy-side, sell-side, or both)

* Deep understanding of share purchase agreements, asset purchase agreements, due diligence processes, and completion mechanics

* Experience with condition precedent tracking and regulatory approval workflows (FIRB, ACCC, ASX as applicable)

* Ability to articulate complex transaction workflows as structured, step-by-step processes

* Strong attention to detail and ability to manage multiple concurrent workstreams

* Genuine interest in technology and willingness to learn how software is built

* Excellent written and verbal communication skills

Nice to Have

* Experience across both private M&A and public company transactions

* Exposure to joint ventures, schemes of arrangement, or takeovers

* Understanding of post-completion integration, warranty & indemnity claims, or earn-out mechanics

* Experience with virtual data rooms (Ansarada, Intralinks, Datasite)

* Familiarity with legal technology products or practice management systems

Work hybrid from fantastic office near Circular Quay. This role comes with a great salary, bonus and generous share options post probation.
